摘要 | 在我国经济进入高质量发展阶段的背景下,对于一家现代化的公司来说,一定要在公司内部建立起一套有效的、长远的、能够促进公司高质量、高稳定性发展的长效激励制度,而实施员工持股可以使公司所有者的利益与职工的个人的利益更好地捆绑在一起,并让他们共同分享企业未来的收益和所有权,从而形成一个长久而有效的激励机制。证监会在2014年发布《关于上市公司实施员工持股计划试点的指导意见》以来,在国家有关政策的推动下,不少上市公司开始对员工持股进行试点,并取得了一定的效果。随后,《关于国有控股混合所有制企业开展员工持股试点的意见》于2016年发布,提出“员工持股计划”将有助于调整国有企业和职工之间的风险和利益关系,是推动混合所有制改革的一项重要方式。目前,在我国的公司中推行这一制度还处在一个尝试和探索的时期,再加上国内市场经济环境还在持续发展变化,因此企业实施员工持股计划的效果还需要进行大量的实践来验证。再者,我国学者对员工持股计划的研究主要是以实证研究为主,因此当下从单个案例的角度出发,通过案例研究,深入分析员工持股计划对市场效应、员工激励、技术创新水平、治理结构和经营情况等方面的影响,为我国关于员工持股计划的研究提供了借鉴,也为其他企业实施员工持股提供了参考。 本文在确认了本案例研究的意义之后,选取了云南白药这一具有典型意义的国有企业为研究对象,采用案例研究法,先是对国内外有关开展员工持股计划的动因和效果的已有研究结果进行了梳理和归纳,从而为论文的写作奠定了一定的理论依据。之后,根据相关理论,分析了企业开展员工持股计划的动因与效果,并得到了有关的结论与启发。首先,本文介绍了云南白药的基本情况,从两期员工持股的实施内容、过程等方面对其实施特点进行了总结。接着,与云南白药的内外环境相联系,利用对上市公司年报、公司发布的其他资料以及金融媒体的报道等,再对其开展实施动因的研究后,本文得出云南白药实施员工持股的动因主要有五个:第一是向市场传递积极信号,提高公司股价;第二是提高公司科研能力。第三是增强员工归属感,减少人才的流失。第四是深化国企改革,优化公司股权结构。第五是改善公司的治理水平,推动公司长期可持续发展。随后,本文从市场效应、创新能力、激励效果、财务绩效和公司治理五个角度,对云南白药员工持股计划的实施效果进行了分析和评价,结果显示:(1)云南白药两期员工持股计划都向外界发出了正面信号,并在短期内对市场产生了正面的影响,但是时效性不长;(2)公司的研发创新能力得到提升;(3)将员工的个人利益与企业的整体价值相统一,使其工作的积极性与主动性达到最大化;(4)员工持股对公司绩效有促进作用;(5)员工持股计划的实施,降低了公司的代理成本,对公司的治理有较好的促进作用。从总体上来说,员工持股计划的实施,为云南白药的发展带来了积极影响。最后,本文对云南白药实施两期员工持股计划后取得的成效及存在的问题进行了总结,并从中得到了以下启示:第一,企业员工持股激励作用发挥时效不长的原因与员工持股计划锁定期偏短有关;第二,员工持股计划缺乏解锁条件时难以形成长期有效的激励机制。希望通过本论文的研究,能为我国国有企业实施员工持股计划提供案例依据,并能为其他企业实施员工持股计划提供借鉴。 |
英文摘要 | Under the background of high quality development of our country's economy, it is necessary for a modern company to establish an effective, long-term and long-term incentive system to promote high quality and stable development of the company. Since the China Securities Regulatory Commission issued the Guiding Opinions on the Pilot Implementation of Employee Stock Incentive Plans by Listed Companies in 2014, under the promotion of the relevant policies of the State, many listed companies have started the pilot implementation of Employee Stock Incentive Plans and have achieved certain results. Subsequently, the Opinions on Launching the Pilot Program of Employee Stock Ownership by State-controlled Mixed Ownership Enterprises (the "Opinions"), issued in 2016, put forward that the "Employee Stock Ownership Plan" will help adjust the risk and interest relationship between SOEs and employees, and is an important way to promote the mixed ownership reform. At present, the implementation of this system in our companies is still in a period of trial and exploration, and the domestic market economic environment is still changing, so the effect of implementing ESOP needs a lot of practice to verify. Furthermore, the research on ESOP in our country is mainly based on empirical research. Therefore, from the perspective of a single case, the impact of ESOP on the market effect, employee incentives, technological innovation level, governance structure and business conditions and other aspects is analyzed in depth through case studies at present, which provides reference for the research on ESOP in our country and the implementation of ESOP by other enterprises. After confirming the significance of this case study, this paper selects Yunnan Baiyao, a state-owned enterprise with typical significance,
as the research object and adopts the case study method. Then, according to the principal-agent theory, human capital theory and signal transmission theory, we analyze the motivation and effect of ESOP, and get some conclusions and inspiration. First of all, this paper introduces the basic situation of Yunnan Baiyao, and summarizes its implementation characteristics from the implementation content and process of the two-phase ESOP. Then, in connection with the internal and external environment of Yunnan Baiyao, this paper makes use of the annual reports of listed companies, other materials issued by the companies and financial media reports to carry out the research on the motivation of implementation. The third is to enhance employees' sense of belonging and reduce brain drain. The fourth is to deepen the reform of state-owned enterprises and optimize the ownership structure of companies. The fifth is to improve corporate governance and promote long-term sustainable development. Subsequently, this paper analyzes and evaluates the implementation effects of the ESOP of Yunnan Baiyao from the perspectives of market effect, innovation ability, incentive effect, financial performance and corporate governance. The results show that: (1) Yunnan Baiyao Employee Stock Incentive Plans in two phases have sent a positive signal to the outside world, and have a positive impact on the market in a short term, but the timeliness is not long; (2) The company's R&D and innovation ability has been improved; (3) The personal interests of employees are integrated with the overall value of the company to maximize their enthusiasm and initiative for work; (4) Employee Stock Incentive Plans have a promoting effect on the company's performance; and (5) The implementation of Employee Stock Incentive Plans has reduced the agency cost of the company and has a better promoting effect on the company's governance. Generally speaking,
the implementation of ESOP has brought positive influence on the development of Yunnan Baiyao. Finally, this paper summarizes the achievements and existing problems of Yunnan Baiyao after the implementation of the two-phase ESOP, and obtains the following enlightenment from it: firstly, the reason for the short time limit for the ESOP to play its role of incentive is related to the short lock-up period of the ESOP; secondly, it is difficult to form a long-term effective incentive mechanism when the ESOP lacks unlocking conditions. I hope this paper can provide a case basis for state-owned enterprises to implement ESOP, and provide reference for other enterprises to implement ESOP. |
