   改革开放极大地推动了我国国民经济的发展，而在此期间钢铁行业对国民经济的发展起到了非常重要的作用，是国民经济的重要组成部分。目前，我国的经济发展逐步迈向新的阶段，对钢铁企业的生产和经营方式提出了新的要求，钢铁企业的发展不单单是寻求经济方面的增加值，在保证经济增长的同时，钢铁企业必须更加注重企业自身发展质量以及对社会进步和履行环境保护的责任。党的二十大报告指出，要推动绿色发展，促进人与自然和谐共生，要牢固树立和践行绿水青山就是金山银山的理念，努力使得我们的发展模式从高污染型向绿色型转变。对钢铁企业而言，第一，政府的环境管制要求企业可持续发展；第二，社会公众要求企业承担对环境保护的责任；第三，企业要不断提升自身的绿色经营技术和能力进而促进企业拓宽市场，使自身处于行业领先的地位。

   本文在梳理三重绩效和绿色并购相关研究文献的基础上，以可持续发展、并购动因、三重底线三种理论为研究主线，以杭钢股份绿色并购提升三重绩效为研究案例，主要采用案例分析和文献研究法，深入挖掘了杭钢股份并购的动机，分析了案例企业在绿色并购所带来的变化。从财务绩效、环境绩效和社会责任三个方面探讨了绿色并购的效果，并从中得出结论：钢铁企业绿色并购推动了企业技术升级，增强了企业可持续发展能力。

Reform and opening up has greatly promoted the development of China's national economy, and during this period the steel industry has played a very important role in the development of the national economy and is an important part of the national economy. At present, China's economic development is gradually moving to a new stage, which has put forward new requirements for the production and operation of steel enterprises. The development of steel enterprises is not only seeking economic value added, but also ensuring economic growth while steel enterprises must pay more attention to the quality of their own development and their responsibility for social progress and environmental protection. The report of the 20th Party Congress points out that we should promote green development, promote the harmonious coexistence of man and nature, firmly establish and practice the concept of green water and green mountains is the silver mountain of gold, and strive to make our development model change from high pollution type to green type. For steel enterprises, firstly, the government's environmental control requires sustainable development; secondly, the public requires enterprises to take responsibility for environmental protection; thirdly, enterprises should continuously improve their own green management technology and be able to broaden their market and make themselves in the leading position in the industry.

In this paper, based on the research literature related to triple performance and green M&A, the three theories of sustainable development, M&A motives and triple bottom line are used as the main lines of research, and the case study of Hangang Steel's green M&A to improve triple performance is used. The effects of green M&A are discussed in terms of financial performance, environmental performance and social responsibility, and insights are drawn from them: green M&A in iron and steel enterprises has promoted the technological upgrading of enterprises and enhanced their sustainable development capability.
